Dear BWPA Member,

As you may know, the BWPA is completing its incorporation which changes the nature of the Association and that requires the authority of the voting Full Members. It is, in effect, continuity of our discussions at the 2016 AGM in Ironbridge and we need to make a clear resolution in a General Meeting to agree transfer of assets to the limited company.

In accordance with BWPA Rules 12 & 13 please accept this email as 21 days notice (Rule 14) to hold an Extraordinary General Meeting (EGM)

  • At: 10:30
  • On: Saturday 23rd September 2017
  • To pass a Resolution in exercise of the Members’ power of dissolution, it was proposed that the Association shall enter into a Deed of Transfer and Dissolution in the form attached to this Resolution.

Full Members, who are pad up, are permitted to vote and as per Rule 15 we require a quorum of 12 Full Members to hold the EGM. Associate Members are welcome, as long as there is room.

If you require to appoint a proxy (Rule 28) to vote on your behalf please notify the Honorary Secretary (address included below) of your proxy

Please let me know if you need more documentation such as the current Rules (2009) and of course I can answer any other questions in advance of the meeting, or send a hard copy of the documents if required.

There will be a Committee Meeting after the EGM, which you are very welcome to attend also and perhaps join us for Lunch.

If you plan to attend or need to appoint a proxy, please reply soonest to Secretary@BWPA.co.uk of your intentions so that we can be sure to achieve the quorum and indeed make sure that we have enough tea, coffee, lunch etc for you; although do not let this prevent you from attending if you find yourself able to attend at the last minute.

Please note that we are still completing Membership Renewals that were due as at 1 May 2017 and general information update, so please make sure that you are fully paid up in order to exercise your Membership privileges.  I have attached the information form again (it is the joiner’s form, for consistency) for those yet to complete it. Please feel free to request a copy of the record held for you to be sure.
